Eligibility: The “2022 Primal Kitchen Pizza Party Box Giveaway” (hereinafter, the “Promotion”) is open only to individuals who are legal residents of the United States (excluding Rhode Island, Puerto Rico, U.S. territories and possessions) and who are at least eighteen (18) years old as of January 5, 2022 (hereinafter, “you” or “Entrant”). The following entities and individuals are not eligible to enter: (i) employees, independent contractors, interns, officers, directors, and/or agents of Blaze Pizza, LLC, or any franchisee of Blaze Pizza, LLC; (ii) employees, independent contractors, interns, officers, directors, and/or agents of any other companies associated with the Promotion (e.g., the Administrator and companies providing prizes); (iii) the advertising, public relations, or promotional agencies of any of the foregoing; (iv) any judges associated with the Promotion; and (v) the parents, members of the immediate families (i.e., spouses, parents, children and siblings, and their respective spouses) and household members of any of the foregoing. Eligibility determinations will be made by Sponsor in its discretion and will be final and binding. The Promotion is subject to all applicable federal, state and local laws and regulations and is void where prohibited by law. 

Timing: The entry period for this Promotion shall commence on January 5, 2022 at 6:00 a.m. Pacific Standard Time and end on January 16, 2022 at 11:59 p.m. Pacific Standard Time (“Promotion Period”).  By participating in the Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these “Official Rules” and agrees that the decisions of Sponsor and Administrator, including in regards to the interpretation of these Official Rules, will be final and binding in all respects.

Overview: Individuals will enter to win a Primal Kitchen Pizza Party Box. To enter for a chance to win, individuals must “like” and tag friends in the sweepstakes Instagram post and follow @blazepizza and @primalkitchenfoods. Winners will be selected at random.

How to Enter: To enter this Promotion, individuals will need to access the internet through either a computer or a mobile phone that uses either the iPhone or Android platform. Sponsor will not review or consider entries that fail to strictly follow the posting instructions and guidelines set forth in these Official Rules, and neither Sponsor nor Administrator is responsible for failure to receive or view an entry regardless of the reason.  

There is one way to enter during the Promotion Period: Via Instagram (No purchase necessary): Follow @blazepizza and @primalkitchenfoods, “like” the identified post and tag friends. The Administrator will randomly select winners from all qualified entries during the Promotion Period on or about the dates specified under the section “Timing” above.  

General Entry Terms and Conditions. Each Instagram entry that is submitted for purposes of Promotion entry is referred to in these Official Rules as a “Submission.” You must configure the settings of your Instagram account such that the Submission is public and remains visible throughout the Promotion Period. Each Submission must comply with all of the technical, creative, and legal requirements disclosed in these Official Rules. You may submit one Submission only during the Promotion Period. Submissions received from any Entrant in excess of the stated limit will be void. Submissions generated by a script, computer program, macro, programmed, robotic or other automated means will be disqualified. Submissions that are incomplete, illegible, corrupted, false, lost, late or misdirected, deceptive or otherwise not in compliance with the Official Rules may be disqualified from the Promotion at the sole and absolute discretion of Sponsor or Administrator.   

Use and Non-use of Submissions: By submitting a Submission, you irrevocably grant to Sponsor and Administrator a non-exclusive license (with the unlimited right to sublicense) to publish, display, reproduce, modify, edit, create derivative works based on, and otherwise use the Submission for any purpose (including any and all commercial purposes) in any and all media formats whether now known or only in existence in the future, without compensation of any kind to Entrant. Sponsor shall have no obligation (express or implied) to use or post any submitted photos on any online social media channel or through any website, or otherwise. Sponsor may cease use of any Submission for any reason, with or without legal justification or excuse, and Entrant shall not be entitled to any damages or other relief by reason thereof.      

By submitting a Submission, you specifically represent and warrant that you have a) complied with all of the foregoing requirements; b) obtained all permissions, licenses, and consents that are necessary for the submission of the Submission and for the use by Sponsor of the Submission as permitted pursuant to these Official Rules and c) taken all necessary steps to verify compliance with the foregoing requirements. Submissions and entries that do not meet these eligibility and guideline requirements are voidable and are not eligible to win any prize. 

Mobile Disclosure: If you opt to use your wireless mobile device in connection with the Promotion, depending on your device’s capabilities, standard text messaging rates or data charges may apply according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers’ rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges arising from your participation in this Promotion.  

Prizes:  
There will be ten (10) random, Primal Kitchen Pizza Party Boxes, each prize consisting of full bottle of Primal Kitchen Ranch and $25 Blaze Pizza gift card, with an approximate retail value (“ARV”) of $35 each. The total Approximate Retail Prize Value of all prizes to be awarded during the Promotion Period is $350. All prizes will be awarded (assuming eligible entries are received), if feasible. Prizes consists only of the items expressly specified in these Official Rules. Any prize details not specified in these Official Rules will be determined by Sponsor in its sole discretion. No substitution, cash redemption, or transfer of the right to receive a prize or any prize component is permitted, except in the discretion of Sponsor. All expenses or costs associated with the acceptance or use of a prize or any prize component (including, Internet connection and/or data costs) are the responsibility of the winner. Prizes are awarded “as is” and without any warranty, except as required by law. In no event will more than the number of prizes stated in these Official Rules be awarded. All federal, state and local taxes on the value of the prize are the responsibility of the winner. An IRS form 1099 will be issued if required by law. 

Selection of Winners: Winners will be drawn on or about January 17, 2022. Administrator will select ten (10) winners in a random drawing from among all eligible entries received.  

Notification and Requirements of Potential Winners: Potential winners will be notified via direct message on the social media account through which the potential winners submitted their Submission. If a potential winner does not respond within one (1) business day after the notice is sent, the Sponsor may select an alternate potential winner at random from all remaining entries received. Each potential winner is subject to verification of eligibility and may, in Sponsor’s discretion, be required to submit proof of identity and/or eligibility in a form acceptable to Sponsor (including, without limitation, government-issued photo identification). Failure to provide such proof to the satisfaction of Sponsor in a timely manner may result in disqualification. Verification of a potential winner’s eligibility may also include, without limitation, a background investigation. Each Entrant consents to the conduct of a background investigation (which may include a review of criminal records) on the Entrant and agrees to supply any authorizations or permissions deemed necessary by Sponsor in connection with any such investigation. Each Entrant represents that the Entrant will provide accurate and truthful information to Sponsor in connection with eligibility verification. Sponsor will have the right to require that potential winners complete and return to Sponsor an Affidavit of Eligibility and Publicity/Liability Release within seven days after attempted delivery of the document to the potential winners. If any attempted notification or prize delivery is returned as undeliverable, or if a potential winner does not respond to Sponsor’s initial notification attempt within one (1) business day, or if a potential winner does not complete, sign, and return any required Affidavit of Eligibility and Publicity/Liability Release within seven (7) days after attempted delivery of the document to the potential winner, or if a potential winner does not satisfy the eligibility requirements set forth above or is not compliant with these Official Rules, or if Sponsor conducts a background investigation on a potential winner and determines in its sole discretion that awarding a prize to the potential winner, publicizing any facts or details about the potential winner, or an association of the potential winner with Sponsor or the Promotion might reflect negatively on Sponsor and/or its products or services or the Promotion, Sponsor will have the right in its discretion to disqualify the potential winner and select an alternate winner in a random drawing from among the remaining eligible entries.  

Grant of Rights. By accepting a prize, to the fullest extent permitted by applicable law, each winner irrevocably grants to the Sponsor and each of its licensees, and its and their successors, assigns and sub-licensees the right and permission to use winner’s name, voice, likeness, biographical material and statements attributed to the winner for advertising, promotional and/or publicity purposes in connection with the Promotion, in all forms of media and by all manners (now and hereafter known), and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), worldwide, in perpetuity, without any obligation, notice or monetary or other form of consideration except for the awarding of the prize to the winner. Each winner agrees not to make any public references concerning the Sponsor without the Sponsor’s prior written consent. 

Release and Limitation of Liability. By posting a Submission, to the fullest extent permitted by applicable law, each Entrant hereby releases and agrees to hold harmless Blaze Pizza, LLC, Instagram, and all other companies involved in the development, operation or marketing of the Promotion or the provision of any prize or any component of any prize, and the successors and assigns of each of the foregoing, and each of the directors, employees, officers, licensees, and agents, of each of the foregoing (collectively, the “Released Parties”), from and against any and all claims, causes of action, and liabilities of any kind that the Entrant ever had, now has or might in the future have arising out of or relating to the Promotion, participation in the Promotion, the use of Instagram, the acceptance, receipt or use of any prize or any component thereof and any use of the Entrant’s personality rights as permitted pursuant to these Official Rules, including without limitation any and all claims, causes of action and liabilities (a) relating to any personal injury, death or property damage or loss sustained by any entrant or any other person, (b) based upon any allegation of violation of the right of privacy or publicity, copyright infringement, misappropriation, defamation or violation of any other personal or proprietary right or (c) or based upon any allegation of a violation of any law, rule or regulation relating to personal information or data security. Each Entrant agrees not to assert any such claim or cause of action against any of the Released Parties. Each Entrant assumes the risk of, and all liability for, any injury, loss or damage caused, or claimed to be caused, by participation in this Promotion, the use of any Promotion-related website, or the provision, acceptance or use of any prize or prize component. The Released Parties are not responsible for, and will have not have any liability in connection with, (v) any typographical, printing, production, distribution or other error in the administration of the Promotion or in the announcement of prizes or winners, (w) late, lost, delayed, illegible, damaged, corrupted or incomplete entries, incorrect or inaccurate capture of, damage to, or loss of entries or entry information, or any other human, mechanical or technical error of any kind relating to the operation of Instagram, communications or attempted communications with any Entrant, the submission, collection, storage or processing of entries or the administration of the Promotion, (x) any “act of god” or other force majeure event outside of Sponsor’s or Administrator’s control that may cause any postponement or cancellation of any prize-related activity or interfere with, delay or prevent the provision of any prize, (y) undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user’s Internet service provider and/or e-mail client or for insufficient space in a user’s e-mail account to receive e-mail or (z) any damage to any computer system resulting from participation in or accessing or downloading information in connection with the Promotion. In no event will more than the number of prizes stated in the “Prizes” paragraph be awarded. 

General Rules. By participating in the Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these “Official Rules” and agrees that the decisions of Sponsor and Administrator, including in regard to the interpretation of these Official Rules, will be final and binding in all respects. All entries become the exclusive property of Sponsor and will not be returned. Any entry, communication, or information transmitted to Sponsor by electronic mail or otherwise is and will be treated as non-confidential and nonproprietary. No illegible, incomplete, forged or altered entries will be accepted. Any person who attempts to participate with multiple email and/or street addresses, under multiple identities or uses any device or artifice to submit multiple entries in violation of the entry limitation will be disqualified. In case of dispute about the identity of an individual who submitted an entry, the entry will be deemed made by the authorized account holder of the email address used to submit entry or the registered account holder of the email address associated with the Instagram account for the entry. “Authorized account holder” is defined as the natural person who is assigned to an address or an email address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning addresses or email addresses for the domain associated with the submitted email address. Entrant, if randomly selected as a winner, may be required to provide Sponsor with proof that the Entrant is the registered account holder for the address associated with the Instagram account for the potential winning entry. If a dispute cannot be resolved to Sponsor’s and Administrator’s satisfaction, the Submission will be deemed ineligible. Proof of Submission of an entry does not constitute proof of receipt by Sponsor. Further, Sponsor is not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in Entrant’s email account to receive email messages. The use of automated software or computer programs to enroll or to enter the Promotion is prohibited and any individual who uses or attempts to use such methods to enroll or to enter will be disqualified. Sponsor disclaims any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Promotion. Sponsor reserves the right, at its sole discretion, to (1) modify, cancel, terminate or suspend this Promotion should any virus, bug, technical failures, unauthorized human intervention or other causes beyond Sponsor’s control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion and (2) to disqualify any Entrant found to be, or suspected of: (a) tampering with the entry process or the operation of the Promotion; (b) acting in violation of these Official Rules; or (c) acting in an un-sportsmanlike manner. In the event of any such cancellation, termination or suspension, a notice will be posted and a random drawing will be held from among all eligible, non-suspect entries received prior to such time. Sponsor reserves the right to correct clerical or typographical errors in promotional materials. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Sponsor by mail shall not be deemed proof of receipt of that communication by Sponsor. The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company (including, without limitation, Instagram), or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. To the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on Instagram, these Official Rules shall control. 

Sponsor is not responsible for injury or damage to participants’ or to any other person’s computer or mobile device related to or resulting from participating in this Promotion or downloading materials from or use of the Instagram application. Persons who tamper with or abuse any aspect of the Promotion or the Instagram application or who are in violation of these Official Rules, as solely determined by Sponsor and/or Administrator, will be disqualified and all associated entries will be void. 

CAUTION. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.   

Choice of Law and Disputes. This Promotion and these Official Rules are governed by and shall be construed in accordance with the substantive laws of the State of California and the United States of America applicable to contracts made and performed entirely in California and where the relevant contacts are within such state. Except where prohibited by law, as a condition of participating in this Promotion, each Entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this Promotion, the prize awarded, or the determination of the winner shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Entrant’s actual out-pocket expenses, and Entrant further waives all rights to have damages multiplied or increased. 

Dispute Resolution. EACH PERSON WHO PARTICIPATES IN THE PROMOTION IRREVOCABLY AGREES THAT SUCH DISPUTE(S) WILL BE RESOLVED SOLELY BY BINDING ARBITRATION BEFORE A SOLE ARBITRATOR, WITH EXPERIENCE IN ADVERTISING OR PROMOTION AND ENTERTAINMENT LAW, UNDER THE RULES AND REGULATIONS OF THE AMERICAN ARBITRATION ASSOCIATION (“AAA”); PROVIDED, HOWEVER, THAT NOTWITHSTANDING THE PARTIES’ DECISION TO RESOLVE ANY AND ALL DISPUTES ARISING UNDER THIS PROMOTION THROUGH ARBITRATION, SPONSOR MAY (1) SEEK TO OBTAIN INJUNCTIVE RELIEF OR OTHER EQUITABLE RELIEF FROM A COURT TO ENFORCE THE PROVISIONS OF THESE OFFICIAL RULES; (2) BRING AN ACTION IN COURT TO PROTECT AND INTERPRET SPONSOR’S INTELLECTUAL PROPERTY RIGHTS; AND/OR (3) BRING AN ACTION TO ENFORCE THE DECISION OF THE ARBITRATOR BEFORE ANY COURT WITH APPLICABLE JURISDICTION. The arbitration will be held in Los Angeles, California. The arbitrator will apply the substantive laws of the State of California, will issue a written decision and will have the power to award any legal remedies except as limited by these Official Rules. The parties agree to split the arbitrator’s fee; provided, however, if applicable law requires Sponsor to pay the arbitrator’s fee in order for the arbitration provision to be enforceable, Sponsor shall have the discretion to elect to pay such fees and proceed to arbitration. Each Entrant irrevocably waives any right to bring or join in any class action regarding the Promotion. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. This arbitration provision shall be deemed to be self-executing, and in the event that any party fails to appear to any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear. In no event shall any Entrant seek or be entitled to rescission, injunctive or other equitable relief or to enjoin or restrain the operation of this Promotion (or any web site connected therewith), exploitation of any advertising or other materials issued in connection therewith, or exploitation of this Promotion (or any content or other materials used or displayed on the Web Site) or the entrant’s entry. 

Privacy Policy: By participating in the Promotion, each Entrant agrees that information submitted via Instagram or email will be subject to and used as permitted by Sponsor’s privacy policy (www.blazepizza.com/privacy). Any questions regarding privacy matters or other important information regarding the collection, use and disclosure of personal information by Sponsor should be directed to the address set forth in the Official Rules.    

Results:  To request a list of all winners in this Promotion, please send a self-addressed, stamped envelope to Blaze Pizza Primal Kitchen Ranch x Blaze Pizza Giveaway Winners List, Blaze Pizza, LLC, 35 N. Lake Ave., Suite 710, Pasadena, CA 91101. Requests must be received within four (4) weeks of the close of the Promotion Period.
